End User License Agreement

IMPORTANT – READ CAREFULLY: This End User License Agreement (“Agreement”) is a binding legal contract between the entity you represent (“Customer” or “you”) and digiDations Pte. Ltd., a Singapore-incorporated company (“digiDations,” “we,” “us,” or “our”). This Agreement governs your use of the ATLAS Cybersecurity Validation Platform.

BY EXECUTING AN ORDER FORM THAT REFERENCES THIS AGREEMENT, OR BY CLICKING “I ACCEPT,” OR BY INSTALLING, ACCESSING, OR USING THE ATLAS PLATFORM, YOU ARE AGREEING TO BE BOUND BY ALL TERMS AND CONDITIONS OF THIS AGREEMENT.

IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF AN ENTITY, YOU REPRESENT THAT YOU HAVE THE LEGAL AUTHORITY TO BIND THAT ENTITY TO THIS AGREEMENT. IF YOU LACK SUCH AUTHORITY, OR IF YOU DO NOT AGREE WITH THESE TERMS, DO NOT INSTALL, ACCESS, OR USE THE ATLAS PLATFORM.

1. DEFINITIONS

  • “ATLAS Platform” means the digiDations proprietary solution for continuous cybersecurity validation, delivered as either the Cloud Service or the On-Premise Software, as specified in your Order Form.
  • “Platform Components” means any downloadable or deployable software modules of the ATLAS Platform provided by digiDations for operation within the Customer Environment, including but not limited to Validators, Detectors, Isolators, WAF Sensors, and Gateways (Log, Proxy).
  • “Cloud Service” means the version of the ATLAS Platform hosted by digiDations and made available to you as a software-as-a-service (SaaS).
  • “On-Premise Software” means the version of the ATLAS Platform provided to you as software for installation and operation within Customer Environment.
  • “Isolator” means the sandboxed Platform Component designed for the safe execution of Destructive Simulations, as described in the Documentation.
  • “TARA AI means the digiDations “Threat Analysis and Research Assistant” feature, an AI-powered service integrated into the ATLAS Platform.
  • “Customer Environment means the IT infrastructure, including networks, systems, applications, and cloud accounts, owned or legally controlled by you and designated for validation.
  • “Simulations” means the security validation tests and simulated attack scenarios conducted by the ATLAS Platform.
  • “Destructive Simulations” means Simulations explicitly identified by digiDations as high-risk or destructive (e.g., simulating ransomware, disk wipper, etc.), which are designed to be only run exclusively within the Isolator.
  • ValidationOutput means all reports, analytics, logs, scores, and findings generated by the ATLAS Platform as a result of the simulations.
  • “Documentation” means the official user guides, product guides, installation manuals, and technical specifications for the ATLAS Platform.
  • Order Form means the ordering document specifying your subscription details, which incorporates this Agreement.
  • “Subscription Term” means the authorized period of use for the ATLAS Platform as set forth in the Order Form.

2. LICENSE GRANT

2.1. License Scope. Subject to your full compliance with this Agreement and payment of all fees, digiDations grants you a limited, non-exclusive, non-transferable license during the Subscription Term to install (where applicable), access, and use the ATLAS Platform and its Documentation solely for your internal business purposes of assessing and validating the security posture of Customer Environment.

3. ACCEPTABLE USE AND RESTRICTIONS

You shall not, and shall not permit any third party to: (a) Use the ATLAS Platform to conduct Simulations on any systems for which you do not possess explicit, prior, and legally valid authorisation. (b) Resell, lease, sublicense, or use the ATLAS Platform in a service bureau or managed security service provider (MSSP) capacity. (c) Reverse engineer, decompile, or otherwise attempt to discover the source code or underlying algorithms of the ATLAS Platform or any of its Platform Components. (d) Modify or create derivative works based on the ATLAS Platform or its Platform Components. (e) Remove any proprietary notices from the ATLAS Platform or Documentation. (f) Execute or attempt to execute Destructive Simulations outside of the designated and properly configured Isolator environment. This is a material breach of this Agreement.

4. CUSTOMER RESPONSIBILITIES AND AUTHORISATION

4.1. Unconditional Authorisation. You represent and warrant you possess all necessary legal authority for the Customer Environment. You hereby provide your explicit and informed consent for the ATLAS Platform to perform Simulations, acknowledging this is essential for lawful operation under Singapore’s Computer Misuse Act (Cap. 50A).

4.2. Acknowledgement and Assumption of Risk. The ATLAS Platform Simulations is unintrusive by design. But you need to understand and expressly agree that Simulations may cause operational impacts if not use properly or not follow our best practice, including service degradation, or generation of security alerts. You accept and assume all risks and responsibility for any such impact, disruption, or loss arising from your use of the ATLAS Platform.

4.3. Data Backup and System Preparedness. You are solely responsible for maintaining complete and current backups of your systems and data. You are also responsible for properly configuring the ATLAS Platform and notifying your internal teams of planned Simulation jobs.

4.4. On-Premise Responsibilities. For the On-Premise Software, you are solely responsible for providing and maintaining the host infrastructure, installation, configuration, library, security, and application of updates as specified in the Documentation.

5. TARA AI SERVICES

5.1. Functionality. TARA AI provides AI-powered analysis, remediation suggestions, and generation of reports and scenarios. Its use is subject to the terms of this Agreement.

5.2. AI Output Disclaimer. ALL OUTPUT FROM TARA AI (INCLUDING AI-DERIVED VARIANTS, SUGGESTED REMEDIATION STEPS, DETECTION RULES, AND SCENARIO ORCHESTRATIONS) IS PROVIDED “AS IS”. YOU ARE SOLELY RESPONSIBLE FOR INDEPENDENTLY REVIEWING, TESTING, AND VALIDATING ANY AI-GENERATED OUTPUT BEFORE IMPLEMENTING IT IN ANY PRODUCTION ENVIRONMENT. DIGIDATIONS BEARS NO LIABILITY FOR THE CONSEQUENCES OF YOUR USE OF UNVERIFIED AI OUTPUT.

5.3. Data and Deployment. You acknowledge that the use of TARA AI may require the transmission of queries and contextual data (which may include elements of Validation Output) to a Large Language Model (LLM). The data residency and processing location depend on the deployment model specified in your Order Form. You are responsible for ensuring your chosen deployment model complies with your organization’s data handling policies.

6. INTELLECTUAL PROPERTY & DATA

6.1. digiDations IP. digiDations retains all right, title, and interest in and to the ATLAS Platform, its Platform Components, Documentation, and all underlying intellectual property.

6.2. Customer IP. You retain all ownership of your data. The Validation Output is your property and Confidential Information.

6.3. Anonymised Data License. You grant digiDations a perpetual, irrevocable, worldwide, royalty-free license to use and analyse technical data, simulation metadata, and elements of Validation Output in an anonymised, de-identified, and aggregated format. digiDations uses this data solely to improve the Platform & Components or Modules, and for statistical research. For the On-Premise Software, this data is only transmitted if you enable this functionality or provide the data for support troubleshooting.

7. WARRANTY DISCLAIMER

THE ATLAS PLATFORM, INCLUDING TARA AI, IS PROVIDED “AS IS.” DIGIDATIONS DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS, FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. DIGIDATIONS DOES NOT WARRANT THAT THE ATLAS PLATFORM WILL IDENTIFY ALL SECURITY VULNERABILITIES OR THAT ITS OPERATION WILL BE UNINTERRUPTED OR ERROR-FREE. THE PLATFORM IS A VALIDATION TOOL, NOT A GUARANTEE OF SECURITY.

8. LIMITATION OF LIABILITY

8.1. Exclusion of Indirect Damages. IN NO EVENT SHALL DIGIDATIONS BE LIABLE FOR ANY INDIRECT, SPECIAL, OR CONSEQUENTIAL DAMAGES, INCLUDING LOST PROFITS, LOST DATA, OR BUSINESS INTERRUPTION.

8.2. Liability Cap. IN NO EVENT SHALL DIGIDATIONS’ TOTAL AGGREGATE LIABILITY ARISING FROM THIS AGREEMENT EXCEED THE FEES PAID OR PAYABLE BY YOU UNDER THE RELEVANT ORDER FORM FOR THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

8.3. Exclusions from Limitations. The limitations in Section 8.2 shall not apply to liability arising from a party’s breach of its confidentiality obligations or a customer’s breach of the license restrictions in Section 3. Furthermore, digiDations shall have no liability whatsoever for any damages arising from (a) your execution of Destructive Simulations outside of a properly configured Isolator, or (b) your implementation of any unverified guidance or output from TARA AI.

9. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless digiDations from any third-party claims, liabilities, and expenses arising from: (a) your use of the ATLAS Platform in breach of this Agreement; (b) your use of the Platform to test systems for which you lacked legal authorisation; or (c) your violation of any applicable laws.

10. TERM AND TERMINATION

This Agreement is effective until all Subscription Terms expire or are terminated. Upon termination, you must cease all use of the ATLAS Platform and, for On-Premise Software, uninstall and destroy all copies of Platform Components in your possession.

11. GENERAL PROVISIONS

11.1. Governing Law. This Agreement is governed by the laws of the Republic of Singapore, and the parties submit to the exclusive jurisdiction of the courts of Singapore.

11.2. Entire Agreement. This Agreement, with all Order Forms, constitutes the entire agreement between the parties.
